Terms and Conditions

The rules behind a booking, in plain English. If anything here does not match what we agreed by email, what we agreed by email wins.

Who you are dealing with

I am Adam Toth, trading as Tadam Photography. I work as a sole trader from London E14, and I photograph and film across the UK. I carry £5 million of public liability insurance, worldwide. Ask if your building wants to see the certificate before the day, and I will send it over.

I am not registered for VAT, so nothing I quote has VAT added to it.

When these terms apply

They apply from the moment you accept a quote or confirm a date, whichever happens first. Every quote I send links to this page.

Your quote is the specific part and this page is the general part. Where the two disagree, the quote wins.

Booking a date

A date is yours once I have confirmed it in writing. Until then I may still be quoting it to someone else, and I will tell you if that is the case.

A deposit is not something I normally ask for. The exception is a session where I have to book a studio for you, because that money leaves my account before the day and I do not get it back. There the deposit covers the studio hire, and it comes off your final invoice.

Moving or cancelling a date

Tell me in good time and moving a date costs you nothing. Dates move. It happens.

More than five working days before the day: move it or cancel it at no charge. You pay only for anything I have already committed to on your behalf, such as studio hire I cannot get back, a second photographer, or travel already booked.

Two to five working days before: those committed costs, plus half the fee, but only if I cannot fill the day with other work.

Under two working days, or on the day itself: those committed costs, plus the fee. If I do manage to fill the day, I take what I earn off your invoice.

I will always try to fill a cancelled day, and you do not pay for a day I did not actually lose. Moving a date more than five working days out is free, as often as is reasonable, and after that it is treated the same as cancelling.

When I am the one who cannot make it, through illness or anything else, you choose: another date or a refund in full.

What you get, and when

Final retouched images, high resolution, in the formats listed on your quote.

Corporate headshots and portraits arrive within seven working days of you choosing from your gallery. Event photographs arrive within a day or two. Video is quoted per job and the delivery date goes on the quote.

The originals stay with me. That is the unedited camera files for photography and the rushes for video, and it is normal in this trade: they are working files, they look flat and unfinished, and they are not what you paid for. Ask if you have a real reason to want them. It is possible and it costs extra.

I keep your files for twelve months after delivery, and usually longer. After twelve months, please do not rely on me having them. Download everything when it lands and put it somewhere safe.

What you can use the photographs for

Everything you make and put out yourselves. Your website, your own social posts, recruitment pages, press and PR, brochures, newsletters, internal decks. Anywhere in the world, for as long as you like, at no extra cost.

The line is whether you are paying for the space. A boosted post, a Google or LinkedIn ad, an advert in a magazine, a billboard: that is advertising, and it gets quoted separately. Tell me whenever it comes up, whether that is before the shoot or two years later.

It is the difference between a photograph doing a job on your own channels and a photograph carrying a campaign you have bought space for.

The number that advertising starts from

Advertising is priced from my normal rate for that kind of work, as published on this site, even if your booking cost less. That way it starts from a number you can already see, instead of from nothing. Film has no published rate, so advertising use of a film is quoted when it comes up.

None of this is a bill, and most bookings never touch it.

The licence is yours, and it does not travel

The photographs are licensed to you, the company or the person who booked me. They do not travel to anyone else.

Where your PR agency, your parent company, a franchise or a client of yours wants to use them, that is a new conversation and usually a short one. It is not something that comes free with your booking. The licence does not survive the business being sold, merged or wound up.

It is written down because it is the part that quietly goes wrong.

Credit, and my moral rights

I am the author of this work and I assert my right to be identified as its author, under sections 77 and 78 of the Copyright, Designs and Patents Act 1988.

In practice I ask for very little. No credit is needed on your own website, your team page, your decks or your recruitment pages. Where a photograph goes to a publication, a press office or anywhere a photographer would normally be named, please credit Adam Toth or Tadam Photography.

Where we have agreed a credit in writing and it is then left off, I may charge an extra 25% of the fee for that booking.

Video, and other people’s licences

Everything above applies to video too, with one difference worth knowing.

A film is not only my work. It carries music, sometimes stock footage, and always the people on camera, and each of those is licensed for particular uses by whoever owns them. My licence to you covers my work. It cannot stretch someone else’s licence, and I am not able to give you rights I do not hold.

So if a film might end up somewhere beyond what we discussed, tell me early and I will build it that way from the start. It is far cheaper than fixing it afterwards.

The people in your photographs

You confirm that everyone I photograph or film for you knows what the pictures are for, and is content to be used that way, for the uses you actually make.

I am in the room for a day and you employ these people, so you are the only one who can tell me whether someone would rather not be photographed. Tell me, or tell them to tell me, and nobody ends up on a careers page who did not want to be there.

Using the pictures later for something bigger than people were told about is on your side of the line. Consent given for a team page does not automatically cover an advertising campaign.

Anything I hold about you as personal data is covered by my Privacy Policy.

Paying me

I invoice when I deliver, unless we agreed otherwise. Payment is due within 28 days.

Past that, I am entitled to statutory interest at 8% above the Bank of England base rate, plus the fixed recovery charge set by the late payment legislation: £40 on debts under £1,000, £70 up to £10,000 and £100 above that. I would much rather send you a reminder.

Until an invoice is paid, the licence above has not started. Photographs published before payment are being used without a licence.

Copyright

The copyright in everything I photograph and film stays mine. That does not change, and it is not for sale as part of a booking. What you buy is the licence described above, which is broad, permanent and free of extra charges for everything you make and put out yourselves.

Where photographs or film are used beyond that licence, I will ask for the use to stop or to be paid for. My normal rate for that kind of work is where that conversation starts.

Your photographs in my portfolio

Selected pictures go on my website, into a portfolio and onto social media, to show what I do. My Privacy Policy sets out how that works.

Some shoots are confidential. Say so before the day and nothing from that one goes anywhere.

The guarantees

Two of my services carry a guarantee, and they are different promises.

The Client Satisfaction Guarantee applies to The Headshot, my individual portrait session, and to nothing else. If we reach the end of the session and you do not want the photographs, say so before we finish and I will refund you in full.

The On-the-Spot Guarantee applies to corporate headshot days. If you are not happy with your photograph, say so within your slot and we shoot it again there and then. Two exceptions, both on the Corporate Headshots page. It does not cover the unposed candid photographs included on a Large team day, because you cannot reshoot a moment that has passed. And it does not cover days of sixty people and up, where the pace makes it unrealistic.

Things neither of us can control

If something outside my control stops a shoot happening, illness or a venue closing, neither of us is at fault. I will offer you another date, or refund you for anything not yet done. What I cannot do is cover costs on your side, so if you are flying people in for a shoot, insure that.

A photograph you cannot use for a reason nobody raised on the day is not on me: a person who did not want to be photographed, a room that turned out to be off limits, a brand rule I was never told about. Tell me the constraints and they stop being a problem.

If something goes wrong

Tell me. Most things are fixable and I would rather hear it early than read it later.

My liability for any one booking is limited to what you paid me for it. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow me to limit.

The law that applies

These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.

Nothing here affects your legal rights as a consumer if you are booking as an individual rather than for a business.

Changes

This page gets updated from time to time. The version that applies to your booking is the one that was live on the day you booked, and I will keep the old ones so that can be checked.
